1. Who we are
Networking Circle is operated by [Your legal entity name], [company number], of [address], New Zealand. In these terms, “we”, “us” and “our” mean that entity. “You” means the person registering for or taking part in a Circle.
2. What we provide
We run small business networking groups, called Circles, together with a website at www.networkingcircle.co.nz and a member portal. A Circle is capped and meets on a published schedule. We do not guarantee any particular number of members, referrals, introductions, leads or business outcomes.
3. Membership
- You must be at least 18 years old and registering on behalf of a genuine business or professional practice.
- The information you give at registration must be accurate, and you agree to keep it up to date.
- Your account is personal to you. Do not share your login.
- Seats in a Circle are limited. Where a Circle is full we may offer a waitlist or a seat in another Circle.
- We may decline, suspend or end a membership at our discretion, including where conduct affects other members.
4. Fees
[Set out your fees, billing cycle, GST treatment, and whether payments are refundable. If membership is currently free, say so and note that you will give notice before introducing fees.]
5. How sessions work
- Sessions run to a published format and a published time. We may change either with reasonable notice.
- Members are expected to attend, to contribute, and to let their facilitator know when they cannot make it.
- Sessions may be recorded only where everyone present has been told in advance.
- Do not record, screenshot or republish a session, or anything shown in it, without the presenter’s permission.
6. Confidentiality
Members regularly share commercially sensitive information, including what they have built, what it cost and what went wrong. Treat anything shared in a session as confidential unless the person who shared it says otherwise. Do not use another member’s information to compete with them or pass it to someone who would.
7. Conduct
You agree not to harass, discriminate against, mislead or abuse other members; not to use the network primarily to send unsolicited sales messages; not to misrepresent your business, your experience or your results; and not to bring the network into disrepute.
8. Member directory
If you choose to appear in the member directory, the details on your profile are visible to other logged-in members. You can leave the directory at any time from your portal. Contact details you find in the directory are for direct, relevant contact only. They are not a marketing list, and adding them to a mailing list without consent is not permitted.
9. Facilitators
Members may be invited to become facilitators and run their own Circle once they have completed the published pathway. Facilitators run their Circle under a separate arrangement with us and are not our employees, partners or agents. 10. No advice
Anything said or demonstrated in a session, or posted on this site, is general information shared between businesspeople. It is not legal, financial, tax, technical or professional advice, and it is not a recommendation of any product or supplier. Decisions you make after a session are your own.
11. Dealings between members
We introduce people. We are not party to any agreement you reach with another member and we are not responsible for the quality, safety, legality or outcome of goods or services one member supplies to another. Do your own checks.
12. Intellectual property
The Networking Circle name, materials and session format remain ours. You keep ownership of anything you present, and by presenting it you allow us and the other members present to discuss it within the session.
13. Liability
Nothing in these terms limits your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 where those Acts apply. Where you acquire membership for the purposes of a business, you agree that those Acts do not apply, to the extent permitted by law. Otherwise, and to the extent the law allows, our total liability to you is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect or consequential loss, including lost profits or lost opportunities.
14. Ending your membership
You can end your membership at any time from your portal or by emailing us. [Explain what happens to any fees already paid.] We may end a membership immediately for a serious breach of these terms, or on [notice period] notice for any reason.
15. Changes
We may update these terms. We will post the updated version here and, where the change is material, tell members by email. Continuing to take part after that means you accept the updated terms.
16. Law
These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction.
